1. Acceptance of Terms

2. Use License

Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

5. Accuracy of materials

The materials appearing on AngelBacked's website could include technical, typographical, or photographic errors. AngelBacked does not warrant that any of the materials on its website are accurate, complete or current. AngelBacked may make changes to the materials contained on its website at any time without notice. However AngelBacked does not make any commitment to update the materials.

AngelBacked has not reviewed all of the sites linked to our website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by AngelBacked of the site. Use of any such linked website is at the user's own risk.

7. Subscription and Payment Terms

AngelBacked offers subscription-based access to our services. By subscribing to any paid plan, you agree to the following terms:

• Billing: Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan selected). Your subscription will automatically renew at the end of each billing period unless cancelled.
• Payment Processing: All payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees to your designated payment method.
• Price Changes: We reserve the right to modify subscription prices at any time. Price changes will take effect at the start of the next billing cycle following notice to you.
• Failed Payments: If payment fails, we may suspend or terminate your access to paid features until payment is successfully processed.

8. Cancellation Policy

You may cancel your subscription at any time through your account settings or by contacting us at team@angelbacked.co. Upon cancellation:

• Access Until End of Billing Period: Your subscription will remain active until the end of your current paid billing period. You will continue to have access to paid features until that date.
• No Partial Refunds: We do not provide refunds or credits for partial subscription periods, unused time, or any unused features.
• Automatic Termination: After the current billing period ends, your account will automatically revert to free-tier access (if available) or be suspended.
• Data Retention: Your saved lists and data will be retained for 30 days after cancellation, after which they may be permanently deleted.

9. Refund Policy

ALL SALES ARE FINAL. AngelBacked maintains a strict no-refund policy for all subscription payments.

• No Refunds: We do not offer refunds for any subscription fees paid, including but not limited to: monthly or annual subscription fees, charges for any billing period (whether used in full or partially), upgrades or downgrades between plans, or any other fees associated with the Service.
• Acknowledgment Before Purchase: By subscribing to any paid plan, you acknowledge that you have had the opportunity to review our services, features, and pricing before making your purchase decision. You accept full responsibility for your purchase.
• Digital Services: Our services are digital in nature and access is granted immediately upon payment. Due to the immediate delivery of digital services, refund rights that may otherwise apply to physical goods do not apply.
• Chargebacks and Disputes: You agree not to file any chargeback, payment dispute, or claim with your bank, credit card company, or payment provider regarding charges for the Service. If you have a concern about a charge, you agree to contact us first at team@angelbacked.co to attempt resolution. Filing a chargeback or dispute without first contacting us constitutes a breach of these Terms.
• Dispute Resolution: In the event of a payment dispute filed with Stripe or any payment processor, AngelBacked reserves the right to: (a) immediately suspend or terminate your account and access to the Service, (b) provide evidence of your agreement to these Terms and your use of the Service, (c) pursue recovery of the disputed amount plus any fees incurred, and (d) report the dispute to credit agencies if appropriate.
• Exceptions: Refunds may be considered at AngelBacked's sole discretion only in cases of: verified duplicate charges due to technical error, or charges made after a subscription was properly cancelled and confirmed. Any exception-based refund request must be submitted within 7 days of the charge date.

10. Free Trials

If we offer a free trial period:

• You may be required to provide valid payment information to start a free trial.
• You will be automatically charged the applicable subscription fee at the end of the trial period unless you cancel before the trial ends.
• Free trials are limited to one per person, household, or payment method. Abuse of free trials may result in immediate account termination.
• We reserve the right to modify or discontinue free trial offers at any time without notice.

11. Account Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Reasons for termination may include but are not limited to:

• Violation of these Terms of Service
• Filing a chargeback or payment dispute
• Fraudulent activity or misrepresentation
• Abuse of the Service, including excessive automated access
• Sharing account credentials or reselling access
• Any activity that harms AngelBacked, its users, or third parties

Upon termination, you will lose access to the Service immediately. No refunds will be provided for any remaining subscription period.

12. Modifications to Terms

AngelBacked may revise these terms of service for its website at any time without notice. By using this website you are agreeing to be bound by the then current version of these terms of service. Continued use of the Service after any changes constitutes acceptance of the new Terms.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Delaware for the resolution of any disputes arising out of or relating to these Terms or your use of the Service.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANGELBACKED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.

IN NO EVENT SHALL ANGELBACKED'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE AMOUNT PAID BY YOU TO ANGELBACKED IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

15. Indemnification

You agree to indemnify, defend, and hold harmless AngelBacked, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from or relating to your use of the Service, your violation of these Terms, or your violation of any rights of another party.
